Clear terms for a simple service.
These terms govern your use of NippyAgent. No legal jargon — just straightforward rules.
1) Service description
NippyAgent is operated by Nippy Agent Ltd (Company No. 16963969), registered at Suite 1-125, 39 Ludgate Hill, London EC4M 7JN. It helps you create quotes and invoices by interacting with a bot on WhatsApp and generating PDF documents based on the information you provide.
WhatsApp message delivery and availability depend on Meta / WhatsApp Business Platform. You understand that outages or limitations of third-party providers may affect the service.
2) Eligibility and account responsibility
- You are responsible for the accuracy of information you enter (customer details, line items, totals, VAT settings, bank details).
- You must have the authority to contact your customers on WhatsApp and to share quotes/invoices with them.
- You must not use NippyAgent in a way that violates WhatsApp policies or applicable law.
3) Acceptable use
You agree not to use NippyAgent to:
- Send spam, harassment, hate speech, or abusive content.
- Send or request illegal content or facilitate unlawful activity.
- Request or process sensitive identifiers through the chat (for example: payment card numbers, government IDs, passwords).
- Attempt to disrupt, overload, or reverse engineer the service.
4) Plans and billing
NippyAgent may offer:
- Free plan: a limited-document plan at no cost (as shown inside WhatsApp).
- Solo subscription: a monthly subscription with a monthly document limit (as shown inside WhatsApp).
- Pro subscription: unlimited documents with branding, recurring invoices, templates, and more (as shown inside WhatsApp).
- Team subscription: all Pro features plus multi-user access and shared customers (as shown inside WhatsApp).
Billing is processed by Stripe. We do not store full payment card details.
Subscriptions (if enabled for your account) renew automatically unless cancelled.
5) Cancellation
You can cancel at any time. Cancellation typically takes effect at the end of your current billing period.
Cancel from inside WhatsApp: Menu → Upgrade → Manage / Cancel.
If you request Delete my data, we cancel any active subscription immediately and access ends immediately.
6) Cancellation and refund policy
Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you have a right to cancel within 14 days of subscribing to a paid plan and receive a full refund, without needing to give a reason.
Refund eligibility rules:
- Only applies to paid subscription plans (Solo / Pro / Team).
- Valid within 14 days of the first successful payment.
- Only one refund per account.
How to request: if eligible, request it inside WhatsApp: Menu → Upgrade → Manage / Cancel → Request refund.
Deleting your data does not automatically issue a refund. If you want a refund and you believe you are eligible, you must submit a refund request using the process above.
Model Cancellation Form (CCR 2013 Schedule 3)
You may use this form to cancel your subscription, but it is not obligatory. You can also cancel directly via WhatsApp (Menu → Upgrade → Manage / Cancel).

7) User content and document responsibility
- You are solely responsible for the content, accuracy, and completeness of all quotes, invoices, and other documents you generate using NippyAgent.
- NippyAgent is a document formatting tool only. It does not verify, validate, or guarantee the accuracy of any information you enter, including prices, VAT calculations, customer details, or payment terms.
- NippyAgent does not provide accounting, tax, legal, or financial advice. You should consult a qualified professional for such matters.
- You must review all PDFs for accuracy before sending them to your customers. Once sent, you bear full responsibility for the contents.
- You are responsible for ensuring your documents comply with applicable laws and regulations, including HMRC invoicing requirements and VAT rules.
8) Availability and limitation of liability
NippyAgent is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free operation.
NippyAgent does not guarantee that documents generated will meet any specific legal, tax, or regulatory requirements. It is your responsibility to ensure compliance.
To the maximum extent permitted by law, Nippy Agent Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of anticipated savings, loss of data, loss of business opportunities, loss of goodwill, business interruption, or any fines, penalties, or assessments imposed by HMRC or any other authority, arising from your use of the service.
To the maximum extent permitted by law, the total liability of Nippy Agent Ltd for any claim arising from or related to the service shall not exceed the total fees you have paid to Nippy Agent Ltd in the 12 months immediately preceding the claim.
Without limiting the above, Nippy Agent Ltd accepts no liability for errors, omissions, or inaccuracies in documents you create, including incorrect pricing, VAT calculations, or customer information. You acknowledge that NippyAgent formats the information you provide and does not independently verify it.
Nippy Agent Ltd is not liable for issues caused by third-party providers (including WhatsApp/Meta, Stripe, or Supabase).
9) Data and privacy
Our Privacy Policy explains what data we collect and how we use it. Data deletion requests are described on our Data deletion page.
10) Support and escalation
Support is available via WhatsApp (Menu → Support / Help) and by email at support@nippyagent.co.uk.
Support hours and response targets may vary and may be communicated on the website or inside WhatsApp.
11) Governing law
These Terms are governed by the laws of England and Wales.
12) Complaints and dispute resolution
If you have a complaint, please contact us first at support@nippyagent.co.uk or via WhatsApp. We aim to resolve all complaints within 14 days.
If we cannot resolve your complaint, you may be able to use an alternative dispute resolution (ADR) provider. We are not currently a member of an ADR scheme approved by a certified ADR provider. You can also use the UK European Consumer Centre (UK ECC) for cross-border disputes, or contact your local Citizens Advice Bureau for guidance.
13) Data processing (DPA)
When you enter your customers' details to generate quotes or invoices, you are the data controller for that customer data and Nippy Agent Ltd acts as a data processor on your behalf under UK GDPR Article 28.
By using NippyAgent, you instruct us to process your customers' personal data solely to provide the service (generating and storing documents). We agree to:
- Process customer data only on your documented instructions (i.e. when you use the service to create documents).
- Ensure confidentiality of all data processed.
- Implement appropriate technical and organisational security measures (see our Privacy Policy, section 9).
- Not engage additional sub-processors without general authorisation (current sub-processors: Supabase, Hetzner, Stripe, Meta/WhatsApp, Upstash, OpenAI, Groq).
- Assist you with data subject rights requests (access, deletion, etc.) where they relate to customer data you have entered.
- Delete or return customer data upon account deletion or termination, subject to legal retention obligations.
- Make available information necessary to demonstrate compliance with these obligations.
Data processed: customer names, addresses, phone numbers, and document line items you enter. Data subjects: your customers. Duration: while your account is active, plus any legally required retention period.
14) Changes to these terms
We may update these Terms from time to time. For material changes (such as changes to pricing, liability, or your rights), we will notify you via WhatsApp at least 30 days before the changes take effect, with a summary of what has changed.
If a material change adversely affects you, you may cancel your subscription before the change takes effect without penalty.
Continued use of NippyAgent after the effective date of any change constitutes your acceptance of the updated Terms. We will always update the "Last updated" date at the top of this page.
